End User License Agreement (EULA)

1. Parties
This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and Viral Host Digital LLC (“Licensor”) governing your use of the Tendril desktop application (the “Software”).
2. License Grant
Subject to Licensee’s compliance with this EULA, Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Software on a single device (Free tier) or up to the number of devices authorized by the Pro tier subscription
- Use the Software for personal, educational, or internal business purposes
- Create and modify projects using the Software’s agent orchestration features
3. License Restrictions
Licensee shall not:
- Copy, modify, or create derivative works of the Software (except for runtime configuration and user-editable files)
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent such activities are expressly permitted by applicable law
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices)
- Rent, lease, lend, sell, sublicense, assign, distribute, or transfer the Software
- Use the Software to develop a competing product
- Circumvent license validation or tier enforcement mechanisms
- Use the Software in violation of any applicable law
4. Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant Licensee any ownership rights in the Software.
5. User-Generated Content
Licensee retains full ownership of:
- Source code and files in their projects
- Code generated by AI agents at Licensee’s direction within their projects
- Configuration files, settings, and knowledge graphs stored in
~/.tendril/
Licensor claims no ownership over any content created or modified using the Software in Licensee’s projects.
6. Third-Party Components
The Software incorporates third-party open-source components under their respective licenses. A list of such components and their licenses is available within the application and in the installation directory. Use of those components is subject to their respective license terms.
7. Updates
Licensor may provide updates, bug fixes, or new features from time to time. Such updates may be automatically installed. Continued use after updates constitutes acceptance of any EULA changes that accompany those updates.
8. Term and Termination
8.1 Term
This EULA is effective upon installation and continues until terminated.
8.2 Termination by Licensee
Licensee may terminate this EULA at any time by uninstalling the Software and deleting all copies.
8.3 Termination by Licensor
Licensor may terminate this EULA if Licensee breaches any provision. Upon termination:
- All rights granted to Licensee under this EULA cease immediately
- Licensee must uninstall the Software and delete all copies
- Provisions that by their nature should survive termination (ownership, disclaimers, limitations of liability) shall survive
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT:
- THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED
- DEFECTS WILL BE CORRECTED
- THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THIS EULA OR LICENSEE’S USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LICENSOR’S TOTAL CUMULATIVE LIABILITY ARISING FROM THIS EULA SHALL NOT EXCEED THE FEES PAID BY LICENSEE TO LICENSOR FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to Licensee.
11. Indemnification
Licensee agrees to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, or expenses arising from:
- Licensee’s use of the Software in violation of this EULA or applicable law
- Code or output generated using the Software that infringes third-party rights
- Data processed by the Software that violates applicable privacy or data protection laws
12. Export Compliance
Licensee shall comply with all applicable export control laws and regulations when using the Software.
13. Governing Law
This EULA is governed by the laws of Puerto Rico, USA, without regard to conflict of law principles.
14. Entire Agreement
This EULA constitutes the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous agreements.
